AUGME.COM TERMS AND CONDITIONS OF USE AGREEMENT
 
Please read through these terms before using the Service. By accessing and using the Service, you expressly agree to the following Services Terms.
 
1. DESCRIPTION OF THE SERVICE
 
Augme.com is a service that that allows Users, including Members and Visitors to create mobile optical codes and URLs. The mobile optical codes are an encoded form of a URL. The end destination reached when the URL is accessed can be changed by Members at any time. Furthermore, Members can transfer control over the hyperlinks and codes created to other individuals.

Augme.com also allows Members to create unique personal profiles online. The purpose of these online profiles is to potentially be used by Members as the end destination for URLs and optical codes under their control.
 
By using the Service you understand and agree to the following:
- You understand that this Service includes experimental applications and services;
- You understand that such applications or services are still in development phase;
- You understand that in order to be able to read the optical mobile codes, your device has to be   equipped with a code reader application using your device's camera to scan, decode and access   content. This Service is not providing you with the code reader application.
- You understand that the Service is licensed and/or made available "as is". Augme makes no, and   hereby expressly disclaims all, warranties, express, implied, statutory, or otherwise with respect to   the applications, including non-infringement and the implied warranties of merchantability and   fitness for a particular purpose;
- You also understand that Augme may at any time at its sole discretion modify, suspend or   discontinue the availability of the Service, with or without notice at any time and without any liability   to you.
 
Please choose carefully the information you post on Augme.com and that you provide to other Users. Your Augme.com profile may not include the following items: photographs containing nudity, or obscene, lewd, excessively violent, harassing, sexually explicit or otherwise objectionable subject matter. Despite this prohibition, information provided by other Augme.com Members (for instance, in their Profile) may contain inaccurate, inappropriate, offensive or sexually explicit material, products or services, and Augme.com assumes no responsibility or liability for this material. If you become aware of misuse of the Augme Services by any person, please contact Augme or click on the "Report Inappropriate Content" link at the bottom of any Augme.com page.

Augme.com reserves the right, in its sole discretion, to reject, refuse to post or remove any posting (including private messages) by you, or to restrict, suspend, or terminate your access to all or any part of the Augme Services at any time, for any or no reason, with or without prior notice, and without liability. Augme expressly reserves the right to remove your profile and/or restrict, suspend, or terminate your access to any part of Augme Services if Augme determines, in its sole discretion, that you pose a threat to Augme and/or its Users.
 
2. RIGHT TO USE THE SITE AND THE CONTENTS THEREOF
 
Use of and Membership in the Augme Services is void where prohibited. By using the Augme Services, you represent and warrant that (a) all registration information you submit is truthful and accurate; (b) you will maintain the accuracy of such information; (c) you are 14 years of age or older; and (d) your use of the Augme Services does not violate any applicable law or regulation. Your profile may be deleted and your Membership may be terminated without warning, if we believe that you are under 14 years of age.

In the event that you are of the age of 14 or older but a minor in your country, you will need to obtain consent from your parent(s) or other legal guardian(s) for using the Service.

When you sign up to become a Member, you will also be asked to choose a password. You are entirely responsible for maintaining the confidentiality of your password. You agree not to use the account, username, or password of another Member at any time or to disclose your password to any third party. You agree to notify Augme.com immediately if you suspect any unauthorized use of your account or access to your password. You are solely responsible for any and all use of your account.

he Augme Services are for the personal use of Members only and may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by Augme.com. Illegal and/or unauthorized use of the Augme Services, including collecting usernames and/or email addresses of Members by electronic or other means for the purpose of sending unsolicited email or unauthorized framing of or linking to the Augme Website is prohibited. Commercial advertisements, affiliate links, and other forms of solicitation may be removed from Member profiles without notice and may result in termination of Membership privileges. Appropriate legal action will be taken for any illegal or unauthorized use of the Augme Services.

The Service and the applications of the site are Copyright © Augme Inc. 2007 (or the respective Augme's suppliers or other third parties). Any rights not expressly granted herein are reserved. Reproduction, transfer, distribution or storage of part or all of the contents in any form without the prior written permission of Augme is prohibited except in accordance with the following terms.
Augme consents to you using the Service on your computer or mobile terminal or other similar devices, as applicable, downloading the optical code image files or copying URLs produced as an outcome of use of the service. Augme consents to the printing of copies of extracts from these pages for your personal use only and not for redistribution unless consented to in writing by Augme.
The Service and the content thereof may be used subject to these Service Terms and any applicable laws. The use of press releases and other documents classified as "public" is permitted in public communications, provided that the source for the information is stated in such public communications.
Please note that individual applications, documents and/or Services provided on the Site may be subject to additional terms, such as end-user software agreements indicated in connection with the applications, documents and/or Services.
The Service may be offered in some countries only and is provided only in the English language.
User Profile information including members' pictures and names are displayed to people in order to facilitate user interaction in the Augme.com social networking community. Email addresses are used for the purposes of inviting new friends to join Augme, to add users to members' friends' networks, and to send notifications related to the service. With the exception of inviting friends, adding friends, and notifications, by default a user's email address is not shared or displayed to people within a user's personal network. To facilitate searching and finding friends and acquaintances on the service, Augme.com allows users to search for other members using names and profile names.
 
3. PROPRIETARY RIGHTS IN CONTENT ON AUGME.COM
 
Augme.com does not claim any ownership rights in the text, files, images, photos, video, sounds, musical works, works of authorship, or any other materials (collectively, "Content") that you post to the Augme Services. After posting your Content to the Augme Services, you continue to retain all ownership rights in such Content, and you continue to have the right to use your Content in any way you choose. By displaying or publishing ("posting") any Content on or through the Augme Services, you hereby grant to Augme.com a limited license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content solely on and through the Augme Services.


You represent and warrant that: (i) you own the Content posted by you on or through the Augme Services or otherwise have the right to grant the license set forth in this section, and (ii) the posting of your Content on or through the Augme Services does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person. You agree to pay for all royalties, fees, and any other monies owing any person by reason of any Content posted by you to or through the Augme Services.

The Augme Services contain Content of Augme.com ("Augme.com Content"). Augme.com Content is protected by copyright, trademark, patent, trade secret and other laws, and Augme.com owns and retains all rights in the Augme.com Content and the Augme Services. Augme.com hereby grants you a limited, revocable, nonsublicensable license to reproduce and display the Augme.com Content (excluding any software code) solely for your personal use in connection with viewing the Augme Website and using the Augme Services.

The Augme Services contain Content of Users and other Augme.com licensors. Except for Content posted by you, you may not copy, modify, translate, publish, broadcast, transmit, distribute, perform, display, or sell any Content appearing on or through the Augme Services.
 
4. CONTENT POSTED
 
Augme.com may delete any Content that in the sole judgment of Augme.com violates this Agreement or which may be offensive, illegal or violate the rights, harm, or threaten the safety of any person. Augme.com assumes no responsibility for monitoring the Augme Services for inappropriate Content or conduct. If at any time Augme.com chooses, in its sole discretion, to monitor the Augme Services, Augme.com nonetheless assumes no responsibility for the Content, no obligation to modify or remove any inappropriate Content, and no responsibility for the conduct of the User submitting any such Content.

You are solely responsible for the Content that you post on or through any of the Augme Services, and any material or information that you transmit to other Members and for your interactions with other Users. Augme.com does not endorse and has no control over the Content. Content is not necessarily reviewed by Augme.com prior to posting and does not necessarily reflect the opinions or policies of Augme.com. Augme.com makes no warranties, express or implied, as to the Content or to the accuracy and reliability of the Content or any material or information that you transmit to other Members.
 
5. CONTENT/ ACTIVITY PROHIBITED
 
The following is a partial list of the kind of Content that is illegal or prohibited to post on or through the Augme Services. Augme.com reserves the right to investigate and take appropriate legal action against anyone who, in Augme.com's sole discretion, violates this provision, including without limitation, removing the offending communication from the Augme Services and terminating the Membership of such violators. Prohibited Content includes, but is not limited to Content that, in the sole discretion of Augme.com:
 
1. Is patently offensive and promotes racism, bigotry, hatred or physical harm of any kind against any     group or individual;
2. Harasses or advocates harassment of another person;
3. Exploits people in a sexual or violent manner;
4. Contains nudity, violence, or offensive subject matter or contains a link to an adult website;
5. Solicits personal information from anyone under 18;
6. Provides any telephone numbers, street addresses, last names, URLs or email addresses other     than your own;
7. Promotes information that you know is false or misleading or promotes illegal activities or conduct     that is abusive, threatening, obscene, defamatory or libelous;
8. Promotes an illegal or unauthorized copy of another person's copyrighted work, such as providing     pirated computer programs or links to them, providing information to circumvent     manufacture- installed copy-protect devices, or providing pirated music or links to pirated
    music  files;
9. Involves the transmission of "junk mail," "chain letters," or unsolicited mass mailing, instant     messaging, "spimming," or "spamming";
10. Contains restricted or password only access pages or hidden pages or images (those not linked       to or from another accessible page);
11. Furthers or promotes any criminal activity or enterprise or provides instructional information       about illegal activities including, but not limited to making or buying illegal weapons, violating       someone's privacy, or providing or creating computer viruses;
12. Solicits passwords or personal identifying information for commercial or unlawful purposes from       other Users;
13. Involves commercial activities and/or sales without our prior written consent such as contests,       sweepstakes, barter, advertising, or pyramid schemes;
14. Includes a photograph of another person that you have posted without that person's consent; or
The following is a partial list of the kind of activity that is illegal or prohibited on the Augme Website and through your use of the Augme Services. Augme.com reserves the right to investigate and take appropriate legal action against anyone who, in Augme.com's sole discretion, violates this provision, including without limitation, reporting you to law enforcement authorities. Prohibited activity includes, but is not limited to:

15. Criminal or tortious activity, including child pornography, fraud, trafficking in obscene material, drug dealing, gambling, harassment, stalking, spamming, spimming, sending of viruses or other harmful files, copyright infringement, patent infringement, or theft of trade secrets;
16. Advertising to, or solicitation of, any Member to buy or sell any products or services through the Augme Services. You may not transmit any chain letters or junk email to other Members. It is also a violation of these rules to use any information obtained from the Augme Services in order to contact, advertise to, solicit, or sell to any Member without their prior explicit consent. In order to protect our Members from such advertising or solicitation, Augme.com reserves the right to restrict the number of emails which a Member may send to other Members in any 24-hour period to a number which Augme.com deems appropriate in its sole discretion. If you breach this Agreement and send unsolicited bulk email, instant messages or other unsolicited communications of any kind through the Augme Services, you acknowledge that you will have caused substantial harm to Augme.com, but that the amount of such harm would be extremely difficult to ascertain. As a reasonable estimation of such harm, you agree to pay Augme.com $50 for each such unsolicited email or other unsolicited communication you send through the Augme Services;
17. Any automated use of the system, such as using scripts to add friends or send comments or       messages;
18. Interfering with, disrupting, or creating an undue burden on the Augme Services or the networks      or services connected to the Augme Services;
19. Attempting to impersonate another Member or person;
20. Using the account, username, or password of another Member at any time or disclosing your       password to any third party or permitting any third party to access your account;
21. Selling or otherwise transferring your profile;
22. Using any information obtained from the Augme Services in order to harass, abuse, or harm       another person;
23. Displaying an advertisement on your profile, or accepting payment or anything of value from a third person in exchange for your performing any commercial activity on or through the Augme Services on behalf of that person, such as placing commercial content on your profile, posting blogs or bulletins with a commercial purpose, selecting a profile with a commercial purpose as one of your "Top 8" friends, or sending private messages with a commercial purpose; or
24. Using the Augme Services in a manner inconsistent with any and all applicable laws
      and regulations.
 
6. COPYRIGHT POLICY
 
You may not post, modify, distribute, or reproduce in any way any copyrighted material, trademarks, or other proprietary information belonging to others without obtaining the prior written consent of the owner of such proprietary rights. It is the policy of Augme.com to terminate Membership privileges of any Member who repeatedly infringes the copyright rights of others upon receipt of proper notification to Augme.com by the copyright owner or the copyright owner's legal agent. Without limiting the foregoing, if you believe that your work has been copied and posted on the Augme Services in a way that constitutes copyright infringement, please provide our Copyright Agent with the following information: (i) an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest; (ii) a description of the copyrighted work that you claim has been infringed; (iii) a description of where the material that you claim is infringing is located on the Augme Services; (iv) your address, telephone number, and email address; (v) a written statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; (vi) a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf. Augme.com's Copyright Agent for notice of claims of copyright infringement can be reached as follows: Copyright Agent, Augme, Inc.,
 
7. MEMBER DISPUTES
 
You are solely responsible for your interactions with other Augme.com Members. Augme.com reserves the right, but has no obligation, to monitor disputes between you and other Members.
 
8. POSSIBLE FEES RELATED TO THE SERVICES
 
Use of some of the Site(s) and/or Services may be or become subject to a separate charge, which is then announced separately within the Site(s) and in connection with the Services.
You may incur additional fees from the use of mobile and/or Internet services of your network or other telecommunications operator/carrier and/or other service provider, including without limitation SMS, MMS and WAP browsing and other services that require the use of airtime and mobile data services. Augme assumes no responsibility for the payment of such fees. Your operator/carrier is in every respect solely responsible for the services it provides to you.
 
9. LINKS TO THIRD PARTY SITES
 
For your easy accessibility Augme may include links to sites on the Internet that are owned or operated by third parties. Upon following a link to such third-party site, you shall review and agree to that site's rules of use before using such site.
Furthermore, as a result of Augme's service whereby optical codes and URLs can be created that direct visitors to a User-determined end destination, it is very likely that visitors accessing these created optical codes and URLs will be directed by Users to third party sites.
You also agree that Augme has no control over the content of these sites and cannot assume any responsibility for material created or published by such third-party sites. In addition, a link to a non-Augme site does not imply that Augme endorses the site or the products or services referenced in such third party site.
 
10. PRIVACY
 
Use of the Augme Services is also governed by our Privacy Policy, which is incorporated into this Agreement by this reference.
 
11. DISCLAIMERS
 
Augme.com is not responsible for any incorrect or inaccurate Content posted on the Augme Website or in connection with the Augme Services, whether caused by Users of the Augme Services or by any of the equipment or programming associated with or utilized in the Augme Services. Profiles created and posted by Members on the Augme Website may contain links to other websites. Augme.com is not responsible for the Content, accuracy or opinions expressed on such websites, and such websites are in no way investigated, monitored or checked for accuracy or completeness by Augme.com. Inclusion of any linked website on the Augme Services does not imply approval or endorsement of the linked website by Augme.com. When you access these third-party sites, you do so at your own risk. Augme.com takes no responsibility for third party advertisements which are posted on this Augme Website or through the Augme Services, nor does it take any responsibility for the goods or services provided by its advertisers. Augme.com is not responsible for the conduct, whether online or offline, of any User of the Augme Services. Augme.com assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, any User or Member communication. Augme.com is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of any email or players due to technical problems or traffic congestion on the Internet or on any of the Augme Services or combination thereof, including any injury or damage to Users or to any person's computer related to or resulting from participation or downloading materials in connection with the Augme Services. Under no circumstances shall Augme.com be responsible for any loss or damage, including personal injury or death, resulting from use of the Augme Services, attendance at a Augme.com event, from any Content posted on or through the Augme Services, or from the conduct of any Users of the Augme Services, whether online or offline. The Augme Services are provided "AS-IS" and as available and Augme.com expressly disclaims any warranty of fitness for a particular purpose or non-infringement. Augme.com cannot guarantee and does not promise any specific results from use of the Augme Services.
 
12. FEEDBACK AND OTHER SUBMISSIONS BY YOU
 
There may be possibility within the site for you to actively participate. By submitting any content or feedback ("Material") to any of Augme's servers, for example, by e-mail or via the Site, you agree that:
 
(a) The Material will not contain any item that is unlawful, invasive of another person's right of privacy or right of publicity or otherwise inappropriate due to, without limitation, its libelous, slanderous or defamatory nature and recognizing the global nature of the Internet, you agree to comply with all local rules regarding online conduct and acceptable Materials;
(b) You will use reasonable efforts to scan and remove any viruses or other contaminating or destructive features before submitting any Material; and
(c) You own the Material or have the unlimited right to provide it to Augme and you will grant Augme worldwide, irrevocable, perpetual, non-exclusive, royalty-free and assignable license to use, reproduce and have reproduced, modify and have modified, publicly perform and publicly display such Material and distribute reproduced and modified copies thereof. Augme may incorporate the Material or any concepts described in it in its products without any accountability or liability;
(d) Your use of the site will not compromise the security or integrity of Augme's computer systems, networks or web site(s) or servers, whether by allowing intruders into the same, introducing viruses or other threats, imposing a disproportionate or unreasonably large load on this site or its infrastructure, or using any computer programming routine, file or device to damage or interfere with the operation of the site;
(e) You agree not to take any action against Augme in relation to the Material that you submit and you agree to indemnify Augme if any third party takes action against Augme in relation to the Material you submit. Augme does not and cannot review the Material posted by users on its site and is not responsible for such Material. Augme may at any time at its exclusive discretion remove any Material submitted by you or other users.
 
13. BREACH OF THE SERVICE TERMS
 
In the event Augme deems, at its exclusive discretion, that you are in whatsoever manner in breach of the Service Terms, Augme shall take any action of whatsoever nature, as it may deem at its exclusive discretion appropriate, to address your breach, including without limitation prevention of access and any legal action in any competent authority or court.
Specifically, Augme has the right to terminate your right to use the Service without notice at any time for any reason at Augme's sole discretion and in particular, if you breach these Service Terms or use the Service unlawfully or in a way that Augme deems inappropriate, for example for commercial purposes or in case Augme notices exceptionally high traffic to the site from a particular IP address(es).
 
14. PRIVACY
 
Use of the Augme Services is also governed by our Privacy Policy, which is incorporated into this Agreement by this reference.

16. NO WARRANTIES
 
THE SERVICE IS PROVIDED AS A CONVENIENCE TO YOU. THE SERVICES OF THE SITE ARE PROVIDED ON "AS IS" AND "AS AVAILABLE" BASIS. AUGME DOES NOT WARRANT THAT THE USE AND/OR APPLICATIONS OF THE SITE WILL BE AVAILABLE FOR UNINTERRUPTED OR ARE ERROR-FREE. AUGME RESERVES THE RIGHT TO REVISE THE SERVICE AND THE CONTENTS OR WITHDRAW ACCESS TO THE SAME AT ANY TIME. NO WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF TITLE OR NON-INFRINGEMENT OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, IS MADE IN RELATION TO THE AVAILABILITY, ACCURACY, RELIABILITY OR CONTENT OF THE SITE OR THIRD-PARTY SITES, IF ANY.
 
17. LIMITATION OF LIABILITY
 
IN NO EVENT SHALL AUGME.COM BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT DAMAGES OR BUSINESS INTERRUPTION ARISING FROM YOUR USE OF THE SERVICES, EVEN IF AUGME.COM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, AUGME.COM'S LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO AUGME.COM FOR THE AUGME SERVICES DURING THE TERM OF MEMBERSHIP.
18. TRADEMARKS OF AUGME
 
Augme is a registered trademark of Augme Inc. Augme and Augme's product and service names are either trademarks or registered trade names of Augme. Other product and company names mentioned at the site may be trademarks or trade names of their respective owners. Your access to this site should not be construed as granting, by implication, estoppel or otherwise, any license or right to use any marks appearing on the site without the prior written consent of Augme or the third party owner thereof.
 
19. JURISDICTION AND DISPUTE RESOLUTION
 
The invalidity of a provision of these Service Terms or any other applicable terms and notices shall not affect the validity of the remaining provisions. The invalid provision shall be replaced with a valid provision which comes closest to the result and purpose of these Service Terms or any other applicable terms and notices.
These Service Terms shall neither exclude nor limit any of your mandatory rights in your country of residence.
You agree to abide by applicable export control laws in the USA and other countries and not to transfer or make available, by electronic transmission or otherwise any content, software or materials subject to restrictions under such laws to a destination prohibited by such laws.
Except where prohibited by applicable law, these Service Terms and any other applicable terms and notices shall be governed by the laws of the State of Florida, USA.
All matters relating to arbitration shall be governed by the Federal Arbitration Act (9 U.S.C. §1 et. seq.). Any and all claims, except claims for monies due to Augme, arising out of or relating to the purchase of products, content or services by you shall be barred unless an action or legal proceeding is commenced within eighteen (18) months after the date you or Augme knew or should have known of the facts giving rise to such claim. Any dispute relating in any way to your visit to this Site, or your content, product or service order from this Site, shall be submitted (together with any counterclaims and disputes under or in connection with other transactions and/or agreements between you and Augme) to final and binding, confidential arbitration to the Dallas, Texas office of the American Arbitration Association (the "AAA"), with such arbitration to be held in Dallas County, Texas, except that, to the extent you have in any manner violated or threatened to violate any Augme or Augme affiliates' or licensors' intellectual property rights, Augme may seek injunctive or other appropriate relief in any state or federal court in the state of Texas or, at Augme's option, any other appropriate state or country, and you consent to exclusive jurisdiction and venue of such court. Arbitration under these Service Terms shall be conducted under the then prevailing Wireless Arbitration Rules of the AAA (except as such rules may be modified by the terms of these Service Terms), unless otherwise agreed in writing by the parties, and shall be heard by a single arbitrator. The Parties further agree that, in connection with any such arbitration proceeding, each Party shall submit or file any claim which would constitute a compulsory counterclaim (as defined by Rule 13 of the Federal Rules of Civil Procedure) within the same proceeding as the claim to which it relates. Any such claim which is not submitted or filed in such proceeding shall be barred. Subject to any terms contained in these Service Terms limiting or excluding damages, the arbitrator may award any relief that the arbitrator deems proper, including without limitation equitable relief, provided that no award of exemplary, special, consequential or punitive damages shall be permitted. The prevailing party, as determined by the arbitrator, shall pay the AAA arbitration fees and the arbitrator's fees and expenses, as applicable. The arbitrator's award shall be binding and may be entered as a judgment and enforceable in any court of competent jurisdiction. To the fullest extent permitted by applicable law, the arbitration shall be conducted on an individual, not a classwide basis, and no arbitration under these Service Terms shall be consolidated with or joined to an arbitration involving any other person or entity, whether through class arbitration proceedings or otherwise, without the prior written consent of you
and Augme.
 
20. INDEMNITY
 
You agree to indemnify and hold Augme.com, its subsidiaries, and affiliates, and their respective officers, agents, partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Augme Services in violation of this Agreement and/or arising from a breach of this Agreement and/or any breach of your representations and warranties set forth above and/or if any Content that you post on the Augme Website or through the Augme Services causes Augme.com to be liable to another.
